2. Use of Services
2.1 Eligibility
Our services are available to individuals and organizations who are at least 18 years old and have the legal capacity to enter into binding contracts under Singapore law.
2.2 Service Engagement
Services commence upon acceptance of our proposal and receipt of the initial deposit. A formal service agreement will outline the scope, timeline, fees, and specific deliverables for your project.
2.3 Accurate Information
Clients must provide accurate information about project requirements, property details, budget constraints, and preferences. Incomplete or inaccurate information may affect project outcomes and timelines.
2.4 Client Responsibilities
Clients are responsible for obtaining necessary permissions, permits, and approvals from relevant authorities in Singapore. Clients must ensure property access for site visits and measurements as required.
3. Prohibited Uses
When using our website or engaging our services, you may not:

4.3 Portfolio Rights
form stuenad reserves the right to photograph completed projects and use images for portfolio, marketing, and promotional purposes unless otherwise agreed in writing. Client confidentiality preferences will be respected.
4.4 Third-Party Content
Our website may contain references to third-party brands, products, or services. All trademarks, logos, and brand names are the property of their respective owners and are used for informational purposes only.
5. Payment and Fees
5.1 Fee Structure

5.2 Payment Schedule

Payments not received within the agreed timeframe may result in project suspension. Late payments may incur interest charges of 1.5% per month or the maximum rate permitted by Singapore law, whichever is lower.
5.4 Cancellation and Refunds
Cancellation policies are specified in service agreements. Generally, deposits are non-refundable, and fees for completed work stages are due regardless of project cancellation. Refunds for incomplete stages may be considered on a case-by-case basis.
6. Disclaimers and Limitations of Liability
6.1 Service Provision
Services are provided on an "as is" basis. While we strive for excellence, we do not guarantee specific results or outcomes. Design preferences are subjective, and satisfaction depends on various factors including client expectations and implementation quality.
6.2 Third-Party Contractors
form stuenad may recommend contractors, suppliers, or vendors but is not responsible for their performance, quality of work, or adherence to timelines. Clients enter into separate agreements with these parties at their own risk.
6.3 Structural and Technical Matters
Our services focus on aesthetic and functional design. We are not responsible for structural engineering, electrical systems, plumbing, or other technical aspects unless specifically included in the service agreement. Clients should engage appropriate licensed professionals for these matters.
6.4 Limitation of Liability
form stuenad's total liability for any claim arising from our services is limited to the fees paid by the Client for the specific project. We are not liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, business interruption, or property damage.
6.5 Force Majeure
We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, pandemics, or supply chain disruptions.
7. Project Timelines and Modifications
7.1 Estimated Timelines
Project timelines provided are estimates based on standard conditions. Actual timelines may vary due to client feedback cycles, material availability, contractor schedules, or unforeseen circumstances.
7.2 Scope Changes
Changes to the agreed scope of work may affect timelines and fees. Significant modifications require written approval and may necessitate revised agreements. Additional fees will be clearly communicated before proceeding with changes.
7.3 Client Delays
Delays caused by client unavailability, delayed decisions, or failure to provide necessary information or access may extend project timelines. form stuenad is not responsible for timeline extensions due to client-related delays.
8. Dispute Resolution
8.1 Informal Resolution
In the event of any dispute, disagreement, or claim arising from these terms or our services, both parties agree to first attempt resolution through good faith negotiation and direct communication.
8.2 Mediation
If informal resolution is unsuccessful, parties agree to pursue mediation through the Singapore Mediation Centre before initiating formal legal proceedings. Mediation costs shall be shared equally unless otherwise agreed.
8.3 Jurisdiction
These terms are governed by the laws of the Republic of Singapore. Any legal proceedings that cannot be resolved through negotiation or mediation shall be subject to the exclusive jurisdiction of the courts of Singapore.
8.4 Applicable Law
This agreement shall be interpreted and enforced in accordance with Singapore law, including but not limited to the Consumer Protection (Fair Trading) Act and relevant professional standards for interior design services.
9. Termination
9.1 Termination by Client
Clients may terminate services by providing written notice. Upon termination, Clients are responsible for payment of all work completed to date, including any outstanding invoices. Deposits and fees for completed stages are non-refundable.
9.2 Termination by form stuenad
We reserve the right to terminate services immediately if Clients violate these terms, fail to make timely payments, provide false information, or engage in abusive behavior toward our team. In such cases, no refunds will be provided.
9.3 Effects of Termination
Upon termination, all work in progress becomes form stuenad property unless full payment for that stage has been received. Clients receive deliverables only for fully paid project stages. Intellectual property rights remain with form stuenad until all outstanding payments are settled.
9.4 Survival of Terms
Provisions regarding intellectual property, payment obligations, confidentiality, limitations of liability, and dispute resolution survive termination of the service agreement.
10. Confidentiality
10.1 Client Information
form stuenad respects client privacy and maintains confidentiality of personal information, property details, and project specifics unless disclosure is required by law or authorized by the client.
10.2 Design Confidentiality
Design concepts and materials shared during projects are confidential until project completion and full payment. Clients agree not to share designs with competitors or use them for purposes other than the agreed project.
11. Changes to These Terms
11.1 Right to Modify
form stuenad reserves the right to update these Terms and Conditions at any time. Changes will be posted on this page with an updated "Last Updated" date. Material changes will be communicated to active clients via email.
11.2 Acceptance of Changes
Continued use of our website or services after changes are posted constitutes acceptance of the revised terms. If you do not agree with modifications, you should discontinue use of our services.
11.3 Version Control
For ongoing projects, the version of terms in effect at the time of service agreement signing shall apply unless both parties agree to adopt updated terms.
12. General Provisions
12.1 Entire Agreement
These Terms and Conditions, together with any service agreement or proposal, constitute the entire agreement between form stuenad and the Client regarding the services provided. They supersede all prior discussions, negotiations, or agreements.
12.2 Severability
If any provision of these terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Invalid provisions will be modified to the minimum extent necessary to make them enforceable.
12.3 No Waiver
Failure to enforce any provision of these terms does not constitute a waiver of that provision or any other provision. No waiver shall be effective unless made in writing and signed by an authorized representative of form stuenad.
12.4 Assignment
Clients may not assign or transfer their rights or obligations under these terms without form stuenad's prior written consent. We may assign our rights and obligations to affiliates or successors without notice.
12.5 Professional Standards
form stuenad adheres to professional standards set by the Singapore Interior Design Association and relevant industry bodies. Our services comply with applicable building codes, safety regulations, and professional practices in Singapore.
